Terms of Service
These terms are an agreement between Odentri Inc. (“Odentri”, “we”, “us”) and the dental practice, group or agency that creates an account (“you”, the “Practice”). By creating an account, starting a subscription or using the service, you agree to them on behalf of your organization and confirm you are authorized to do so. Our Privacy Policy explains how personal information is handled, and our Data Processing Agreement sets out how we handle patient and practice information on your behalf. Both form part of these terms.
1. The service
Odentri gives dental practices a website smile-preview widget, an in-practice (“chairside”) studio, a lead inbox, reporting, and optional connections to customer relationship management (CRM) systems. Features differ by plan, as shown on our pricing page at the time you subscribe. We may improve, change or remove features. If we remove a core feature you pay for, we will tell you in advance and you may cancel and receive a pro-rated refund of any prepaid, unused period.
The service is offered to practices in Canada (outside Quebec) and the United States. It is not yet offered in Quebec. It is a business service: you must use it for your practice, not as a consumer.
2. Smile previews are illustrations, not dental advice
Previews are AI-generated illustrations to support a conversation with a dental professional. They are not a diagnosis, a treatment plan, a prediction of results or a guarantee that any treatment is suitable or achievable. Odentri does not provide dental or medical advice. Your dentists remain solely responsible for clinical assessment, treatment decisions and what they tell patients.
You agree not to present previews as actual treatment results, and to follow the advertising and professional standards of your dental regulator, including any rules about before-and-after or simulated images. AI output can be imperfect; review a preview before relying on it in a conversation.
3. Your account and team
- Give accurate account and billing information and keep it current.
- Keep sign-in details secure. You are responsible for activity under your account and for the team members you invite and the access you give them. Tell us promptly at info@odentri.com if you suspect unauthorized access.
- Account owners and administrators can add or remove team members. Removing someone ends their access to your practice data.
4. Subscriptions, billing and refunds
- Plans are billed in advance, monthly or annually, in US dollars, plus any applicable taxes. Payments are processed by Stripe; we do not see or store full card numbers.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from Plan & billing; your plan stays active until the end of the period already paid for and does not renew.
- 14-day money-back guarantee. If your organization is subscribing to Odentri for the first time, you may request a full refund of that first payment within 14 days by emailing info@odentri.com. Refunding it ends the subscription. Otherwise, payments are non-refundable and we do not give partial refunds for unused time, except where these terms or applicable law say otherwise.
- If a renewal payment fails, paid features stay available for up to 7 days while payment is retried. After that, paid features pause until the balance is paid. Your leads and settings are not deleted because of a failed payment; they continue to follow your retention settings.
- Upgrades take effect straight away and Stripe adjusts the charge for the rest of the period. Downgrades take effect at the next renewal.
- We may change prices for future periods. We will give at least 30 days’ notice by email before a higher price applies to your subscription, and you may cancel before it takes effect.
5. Unlimited previews and fair use
Plans described as unlimited have no monthly image cap or per-image charge for your subscribed locations. To keep the service reliable and prevent abuse, we apply bot protection, repeat-request safeguards, short rate limits and daily safety limits per practice. These limits are set well above normal practice use. If unusual activity suggests automated abuse or use outside your subscribed locations, we may slow or pause generation and will contact you.
6. Patients, consent and your legal obligations
You decide why and how your practice collects patient and prospective patient information through Odentri. For that information you are responsible for:
- Having a lawful basis and any consent required to collect it and to use the service, including for photos taken or uploaded in the chairside studio. The website widget records the visitor’s photo processing consent and optional marketing consent; for chairside photos, obtaining consent is your responsibility.
- Only uploading a photo when its subject has agreed. The website widget is for adults (18 or older). A chairside photo of a patient under 18 needs the consent of a parent or guardian. Never upload a photo you do not have the right to use.
- Complying with the privacy and health information laws that apply to your practice, such as PIPEDA, provincial health privacy laws (for example Ontario’s PHIPA), US state privacy laws, and anti-spam and marketing laws such as CASL and CAN-SPAM when you follow up with leads.
- If your practice is in a US state with biometric or health-data laws (for example Illinois, Texas or Washington), getting any written consent those laws require before using the service. The service detects facial landmarks to place an illustration, as described in the Privacy Policy. Ask us before launching there.
- Responding to patient requests to access, correct or delete their information. We will help you do so through the service or on request.
7. How we handle your practice data
“Practice data” means the photos, leads, chairside cases and other content that you or your patients submit through your account. You own your practice data. We process it only on your behalf and on your instructions as set out in these terms and the Data Processing Agreement: to provide, secure, support and improve the service. We do not sell it, use it for advertising, or use patient photos to train AI models.
- We share practice data only with the service providers listed in our Privacy Policy that we need to run the service, each bound by confidentiality and security obligations, with CRM or webhook destinations you connect, or where the law requires it.
- Photos are kept in private storage and opened through short-lived links. Images sent to our AI image provider are used only to create the preview, and we request deletion of the provider’s copies after each request.
- Your retention settings control automatic deletion: images after at most 30 days and contact records after at most 180 days, or sooner if you choose.
- If we become aware of a breach affecting your practice data, we will notify you at the first reasonable opportunity and within 72 hours, with the information you need to meet your own notification obligations.
- HIPAA. Odentri does not currently sign business associate agreements. If you are a HIPAA covered entity, do not use the service in a way that would make Odentri your business associate unless we have signed a written agreement with you first.
8. Acceptable use
You agree not to, and not to let anyone else:
- upload unlawful, sexual, harmful or misleading content, photos of minors through the website widget, or chairside photos of a minor without a parent or guardian’s consent;
- use the service to deceive people, impersonate anyone, or create images of someone without their consent;
- probe, overload, scrape, reverse engineer or circumvent the security, rate limits or usage safeguards of the service;
- resell or white-label the service except as allowed by the Agency plan for practices you are authorized to manage; or
- use the service in breach of any law or professional rule.
9. Third-party services
Connections to services such as GoHighLevel, other CRMs, website builders or Google sign-in are governed by those providers’ own terms. We are not responsible for third-party services, their availability, or what they do with data you send to them. Logos on our site identify third-party products and do not mean they endorse us.
10. Our intellectual property
We own the service, its software, design and brand. We give you a non-exclusive, non-transferable right to use it for your practice during your subscription. You may use previews generated for your practice in patient conversations and, subject to section 2 and your regulator’s rules, in your own communications. If you send us feedback or suggestions, we may use them without obligation to you.
11. Availability and support
We work to keep the service available and secure, but it may sometimes be unavailable for maintenance, provider outages or events outside our control. Support is available by email at info@odentri.com and through the Help page in your dashboard.
12. Suspension and termination
- You may cancel your subscription at any time as described in section 4.
- We may suspend or end access if you materially breach these terms (including non-payment or misuse) and do not fix it within 10 days of our notice, or immediately where needed to prevent harm, abuse, fraud or a legal violation.
- After your account ends, your practice data continues to be deleted under your retention settings. You can ask us to delete your account and all remaining practice data sooner by emailing info@odentri.com; we will do so within 30 days, except for records we must keep by law (such as billing records). Export your leads (CSV) before closing your account if you need them.
13. Disclaimers
Except as expressly stated in these terms, the service is provided “as is” and “as available”. To the extent the law allows, we disclaim all other warranties and conditions, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted or error-free, that previews will be accurate or acceptable to patients, or that using Odentri will produce leads, bookings or revenue.
14. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill. Each party’s total liability arising out of these terms is limited to the amount you paid Odentri in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, your obligations in section 15, or liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify Odentri against third-party claims arising from content you or your team upload without the necessary rights or consent, your clinical decisions or patient communications, or your breach of section 6 or section 8.
16. Changes to these terms
We may update these terms. For material changes we will give at least 30 days’ notice by email or in your dashboard before they take effect. If you do not agree, you may cancel before the change applies. Continuing to use the service after that date means you accept the updated terms.
17. General
- These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts in Toronto, Ontario have exclusive jurisdiction, and both parties agree to them.
- You may not transfer these terms without our consent. We may transfer them to a successor to our business, with notice to you.
- These terms, the Data Processing Agreement, the Privacy Policy and your plan selection are the whole agreement between us about the service. If a part is found unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it.
- Neither party is liable for delays caused by events beyond its reasonable control.
